The Statement of Claim in FINRA Case No. 26-02236 asserts that the retired investors had minimal to no background in complicated tax shelters, private placements, or syndicated conservation easements when TSFA advised them to put nearly $150,000 into two EcoVest conservation easement offerings. These transactions were purportedly framed as legitimate tax-reduction strategies intended to generate charitable contribution deductions exceeding $560,000—roughly four times the sums invested.
Per the claim, the investors depended on TSFA to scrutinize the EcoVest offerings, assess their suitability, and outline the material risks. However, TSFA allegedly failed to sufficiently examine or disclose the transactions’ substantial valuation, tax, audit, penalty, liquidity, and regulatory risks, including the chance that the IRS could dispute the deductions and impose liabilities well beyond the couple’s initial investments.
The claim contends that those risks ultimately came to pass when the IRS contested the deductions tied to both EcoVest transactions. The investors now confront hefty tax liabilities, penalties, statutory interest, professional fees, investment losses, and other resulting damages.
